Terms and conditions

These terms apply to all quotes, contracts and services of Stucapro BV, trading as Vitrinet (hereinafter 'Vitrinet'), unless agreed otherwise in writing. By accepting a quote, you accept these terms. We have deliberately kept them short and readable.

1. Quotes and prices

Quotes are valid for 30 days. Prices exclude VAT unless stated otherwise. The price of a package is fixed; extra work not covered by the quote is discussed in advance and quoted separately (at €75 per hour or at a fixed price). A contract is formed by your written approval (including by email) and payment of the deposit.

2. Payment

For website projects you pay 40% on order and 60% on delivery. Maintenance and hosting are invoiced monthly or annually in advance. Invoices are payable within 14 days of the invoice date.

For businesses: in the event of late payment, interest is due by operation of law and without notice of default in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, plus a fixed compensation of 10% of the invoice amount with a minimum of €75, without prejudice to collection costs. For consumers, the rules of Book XIX of the Code of Economic Law apply: first a free reminder with a 14-day period, then the legally permitted interest and costs.

In the event of late payment, Vitrinet may suspend the work or services (including hosting) after a written warning, without this giving rise to compensation.

3. What you supply

You supply the necessary text, photos, logos and details in good time, and you guarantee that you have the right to use them. You indemnify Vitrinet against third-party claims regarding material you supply. Vitrinet may use royalty-free or licensed imagery and states this in the quote.

If the material is not supplied more than 30 days after the request, Vitrinet may reschedule the project or, after warning, deliver and invoice the work completed up to that point.

4. Execution and scheduling

Timelines are indicative and start running once Vitrinet has received the deposit and all the material. Vitrinet provides the services to the best of its ability (best-efforts obligation) and informs you in good time if a deadline cannot be met. Exceeding a deadline does not give rise to compensation or termination, unless it exceeds 60 days and is attributable to Vitrinet.

5. Revision rounds and delivery

Each package includes a number of revision rounds (Start: 1, Pro: 2, Premium: 3). A round is a bundled list of comments you provide within 10 business days of receiving a version. Extra rounds or changes to the approved structure are invoiced at €75 per hour, after your approval.

The website is delivered on the agreed domain. You approve the delivery in writing; without comments within 10 business days of the delivery notification, the website is deemed accepted. Minor defects do not prevent acceptance and are fixed under the guarantee.

6. Satisfaction guarantee and guarantee against defects

If you are not satisfied after the first design round (the first proposal of the homepage), you may terminate the contract in writing and Vitrinet refunds your deposit in full. After that, the agreed services are due.

Errors in the functioning of the website reported within 30 days of delivery (60 days for Premium) are fixed by Vitrinet free of charge. The guarantee does not cover changes made by you or third parties, problems with external services (payment platforms, email providers, browsers) or defects resulting from supplied material.

7. Intellectual property

After full payment you receive the exclusive, unlimited right to use the design and content of your website, including the right to modify it or have it modified. Vitrinet remains the owner of reusable components (code, templates, components) and may use them in other projects. Text, photos and logos you supply remain yours. Third-party fonts and imagery are subject to their own licences.

Vitrinet may mention the website as a reference (name, screenshot, link) and places a discreet 'website by Vitrinet' credit at the bottom. At your simple request, we remove that credit or the reference.

8. Hosting, maintenance and domain names

Hosting and maintenance are subscriptions you can cancel monthly by email with one month's notice. Vitrinet aims for 99.5% availability per month, excluding planned maintenance, and makes a daily backup. On termination, Vitrinet provides you with an export of your website within 30 days.

Domain names are registered in your name; you are and remain the holder. The registry's terms (for .be: DNS Belgium) apply. The first year is included in the package; after that Vitrinet invoices the renewal annually in advance, unless you manage the domain name yourself.

9. Liability

Vitrinet's liability is limited to the amount you paid for the assignment concerned and in any case to the amount paid out by the insurance. Vitrinet is not liable for indirect damage such as loss of profit, loss of data or reputational damage, nor for the content you place on the website, for outages at third parties (hosting, payment platforms, email services, search engines) or for search engine results, which Vitrinet cannot guarantee.

10. Cancellation and termination

If you cancel a project before the design starts, the deposit is due as compensation for the reserved time, except in the case of the satisfaction guarantee (article 6). If you cancel during the project, you pay for the services provided up to that point, with a minimum of the deposit. In the event of a serious breach by one party, the other party may terminate the contract after a written notice of default that remains without effect for 14 days.

11. Consumers: right of withdrawal

If you are a consumer and concluded the contract at a distance (for example by email), you have 14 days to withdraw without giving a reason. If you ask us to start before the end of that period, on withdrawal you pay a proportional part of the price for the work delivered, and the right of withdrawal lapses once the service has been fully performed.

12. Privacy

Vitrinet processes personal data in accordance with the privacy policy on this website. For personal data collected via your website (for example via a contact form), you are the controller and Vitrinet, where applicable, the processor; on request we conclude a data processing agreement.

13. Force majeure

In the event of force majeure (illness, supplier outages, natural disasters, government measures and other circumstances beyond our control), obligations are suspended for as long as the force majeure lasts. If it lasts longer than 60 days, either party may terminate the contract without compensation.

14. Applicable law and disputes

These terms are governed by Belgian law. In the event of a dispute, the parties first seek an amicable solution. Failing that, the courts of the judicial district of Antwerp have jurisdiction; for consumers, the statutory rules on jurisdiction apply. Consumers can also contact the Belgian Consumer Mediation Service (consumerombudsman.be) or the European ODR platform (ec.europa.eu/odr). Should any provision be void, the remaining provisions remain in force.
